Acquisition/Disposition: Drafted and negotiated principal
and ancillary documents, including purchase and sale agreements,
in connection with sales of office buildings or equity interests
in entities with ownership of office buildings.
Mezzanine
Finance: Drafted and negotiated principal and ancillary documents
relating to mezzanine financing transactions, including loan agreements,
intercreditor agreements, cash collateral agreements and pledge
agreements.
Securitization: Drafted and negotiated mortgage loan purchase
and sale agreements in connection with securitizations of conduit
loans secured by commercial mortgages. Work-out: Negotiated principal
agreements relating to the restructuring of an unsecured credit
facility in favor of a closely held real estate investment trust.
General:
Represented institutional lenders in connection with multi-state
financing transactions. Represented landlords and tenants with respect
to office space leases and leases for manufacturing facilities.
Various areas of real estate transactional law including leasing
and subleasing of office properties on behalf of both landlords
and tenants and representing many Internet and new media clients
in lease negotiations; acquisitions and dispositions of prominent
commercial properties located in the City of New York and nationwide;
representing lender and borrower interests in lending transactions
including real estate-secured loans, mezzanine financing and unsecured
lending.
All aspects of general commercial real estate transactions including
the acquisition, sale, financing and leasing of various commercial
properties such as shopping centers, hotels and office buildings.
Experience includes representing landlord and tenant interests in
the negotiation and drafting of commercial and retail space leases
and subleases; being the responsible attorney for real estate aspects
of corporate transactions (mergers and acquisitions); representing
lender and borrower interests in mortgage financings and refinancings
and purchaser and seller interests in the purchase and sale of commercial
and residential properties; involvement in various REITS and REMICS;
representing one of the country's largest institutional lenders in
its conduit program and handling every aspect of the commercial real
estate lending transactions in the conduit program.
Draft and negotiate contract and conveyancing documents for purchase
and sale transactions and operating documents for various joint
venture arrangements; draft and negotiate loan documents for commercial
loan transactions, including multi-property and single asset transactions,
as lender's and borrower's counsel; draft and negotiate commercial
leases and ancillary lease documents for office and retail space,
as landlords' and tenants' counsel; perform title, survey and general
due diligence reviews.
Representation
of investment banks, hedge funds, developers, real estate management
companies and REITs in all areas of real estate financing, acquisition
and leasing transactions, including construction loans, mezzanine
loans, securitized financings, restructuring and workouts, and entity
formation and organization. Experience has emphasized extensive
client contact and high level of responsibility for all aspects
of the transactions from term sheet through closing, including drafting
and negotiating all documents relating to the transaction.
Representation
of major commercial and investment banks and developers in financing
transactions of commercial and residential properties, including
mortgage loans, construction loans, securitized financings and industrial
development bond financings and representation of developers, not-for-profit
organizations and REITs in connection with real estate acquisitions,
sales, and leasing transactions. Responsibilities included negotiating
and drafting loan and conveyance documents, opinions of counsel
and architect's agreements; entity formation; conducting closings;
performing all aspects of due diligence, including title and survey
review; and supervising and participating in several pro bono
projects.
Real estate experience includes drafting and reviewing documents in
connection with commercial leasing and commercial lending, representing
lenders and sellers in connection with the sale of major New York
City buildings, representing borrowers in secured financings, handling
all aspects of the purchase of condominium units, analyzing title
back-up documentation, reviewing surveys, drafting transfer tax documentation
and performing extensive due diligence. Corporate experience includes
drafting and negotiating documents in connection with initial public
offerings, preparing SEC filings (forms 10-K, 10-Q and 8-A), drafting
underwriting agreements, reviewing corporate charters and by-laws,
reviewing accountants' comfort letters and drafting firm opinion letters.
Represent financial institutions, investment banks, private lenders
and borrowers in origination, refinance, modification and securitization
of commercial real estate financing for multi-state, multi-property
transactions with responsibilities including drafting, negotiating
and reviewing term sheets, loan documents, organizational documents,
performing extensive due diligence and title review and preparing
for and conducting closings. Represent entities and individuals in
the acquisition and sale of real property, including drafting and
negotiating purchase and sale agreements, preparing transfer tax documents
and performing due diligence including analysis and review of leases,
title, survey and zoning. Represent landlords and tenants in connection
with office and shopping center leases, including drafting and negotiating
leases and subleases as well as brokerage, estoppel, and non-disturbance
agreements in connection therewith.
- Commercial Leasing. Negotiate, draft and enforce office and commercial
leases including options to terminate, assignments and amendments
on behalf of tenants and landlords throughout the U.S. Draft form
of lease for multiple not-for-profit senior citizens residential buildings.
Conducted due diligence in acquisitions of entities leasing multiple
premises such as national restaurant chains, fruit distribution companies,
nursing homes and theme parks. Conducted due diligence in public offerings,
including real estate investment trusts which lease multiple premises.
- Acquisition/Dispositions. Assist real estate partners in negotiating
asset and stock purchase agreements in sales of hotel properties,
nursing homes, office buildings and commercial properties located
in the United States, Mexico and Canada. Analyze title back-up documentation
and environmental assessments, resolve title issues, review surveys,
draft conveyance and transfer tax documents and conduct closings.
- Real Estate Finance. Assist in negotiating and negotiate commercial
loan documents for loans securing single and multiple properties located
in the U.S. Conducted due diligence in real estate investment trust
offering requiring review of mortgage loan origination, acquisition
and securitization.
